Agreement to Terms

These Terms of Service ("Terms") govern your use of First Planet's website located at firstplanet.ca and our SEO and digital marketing services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you disagree with any part of these terms, then you may not access the Services.

Service Description

First Planet provides comprehensive SEO and digital marketing services including but not limited to:

• Search Engine Optimization (SEO) services
• Pay-Per-Click (PPC) advertising management
• Social media marketing and management
• Website design and development
• Content marketing and creation
• Video SEO and marketing
• Local SEO optimization
• Analytics and reporting services

All services are provided subject to the terms and conditions outlined in this agreement and any specific service agreements entered into between First Planet and the client.

User Responsibilities

As a user of our Services, you agree to:

Provide Accurate Information

• Provide truthful and accurate information
• Keep your contact information up to date
• Provide necessary access to your website and accounts
• Cooperate with our team as needed

Comply with Laws

• Use our services in compliance with applicable laws
• Respect intellectual property rights
• Avoid any illegal or harmful activities
• Maintain ethical business practices

Payment Terms

Payment Schedule

Payment terms will be specified in your individual service agreement. Generally, payments are due monthly in advance for ongoing services. One-time projects may require a deposit before work begins, with the balance due upon completion.

Late Payments

Late payments may result in service suspension or termination. We reserve the right to charge late fees as specified in your service agreement. All payments are due within 30 days of invoice date unless otherwise specified.

Refunds

Refund policies vary by service type. Generally, monthly service fees are non-refundable once services have been provided. Custom project refunds may be available if work has not yet begun, subject to administrative fees.

Service Level Agreements

Response Times

We commit to responding to client inquiries within 24 hours during business days (Monday-Friday, 9 AM - 6 PM EST).

Reporting

Monthly reports will be provided within 10 business days of month-end, including detailed analytics and progress updates.

Data Security

We maintain industry-standard security measures to protect your data and will notify you of any security incidents within 24 hours.

Intellectual Property Rights

Client Content

You retain ownership of all content, materials, and intellectual property you provide to us. You grant us a limited license to use such content solely for the purpose of providing our services to you.

First Planet Content

All content, strategies, methodologies, and materials created by First Planet remain our intellectual property. This includes but is not limited to SEO strategies, marketing plans, and proprietary tools.

Work Product

Upon full payment, you will own the final deliverables specifically created for your project. However, our underlying methodologies, processes, and tools remain our proprietary property.

Limitation of Liability

Disclaimer: Our services are provided "as is" without warranties of any kind, either express or implied. While we strive to deliver excellent results, we cannot guarantee specific outcomes such as search engine rankings, traffic increases, or conversion rates.

Limitation: To the maximum extent permitted by law, First Planet's total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific services giving rise to the claim in the 12 months preceding the claim.

Exclusions: We are not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities.

Termination

Client Termination

You may terminate services with 30 days written notice. Outstanding invoices remain due and payable. No refunds for services already provided.

First Planet Termination

We may terminate services for non-payment, violation of terms, or other material breaches with appropriate notice as specified in your service agreement.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This includes but is not limited to:

• Business strategies and financial information
• Customer lists and contact information
• Marketing plans and campaign details
• Technical specifications and methodologies
• Any other information marked as confidential

Governing Law and Disputes

Governing Law: These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.

Dispute Resolution: Any disputes arising from these Terms or our services shall be resolved through binding arbitration in accordance with the Arbitration Act of Ontario.

Jurisdiction: Any legal proceedings shall be conducted in the courts of Burlington, Ontario, Canada.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of any material changes via email or through our website. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
